Certifications & Compliance

Is Strategic Commerce Solutions a certified SDVOSB and DVBE? Yes. We are officially certified as a Service-Disabled Veteran-Owned Small Business (SDVOSB) by the SBA (VetCert) and a Disabled Veteran Business Enterprise (DVBE) and Small Business (Micro) by the State of California.

How do you help agencies meet their socio-economic goals? We help federal agencies exceed their mandatory 3% SDVOSB participation goals and assist California state agencies in meeting their 3% DVBE requirements. We provide all necessary reporting, including the STD 817 for state contracts, to ensure your agency receives full credit.

Does your company fulfill a "Commercially Useful Function" (CUF)? Absolutely. We are not a "pass-through" entity. We perform CUF by providing technical vetting of vendors, managing the end-to-end supply chain, and taking full contractual and financial responsibility for the delivery of mission-critical goods.

Comprehensive Terms and Conditions

1. Scope and Acceptance

These Terms and Conditions govern all bids, quotes, and contracts entered into by Strategic Commerce Solutions (the "Company"). Acceptance of a Purchase Order or Contract by the Company is expressly limited to these terms. Any additional or conflicting terms in a Buyer’s solicitation are rejected unless specifically incorporated in writing.

2. Federal Government Compliance (FAR/DFARS)

The Company operates as a certified Service-Disabled Veteran-Owned Small Business (SDVOSB).

Certification Warranty: The Company warrants it is certified by the SBA (VetCert) per 13 CFR Part 128 and maintains active registration in SAM.gov.
Non-Manufacturer Rule (NMR): For supply contracts, the Company complies with FAR 52.219-33. As a non-manufacturer, the Company will provide end items manufactured by small business concerns in the U.S., unless a specific SBA waiver (Class or Individual) is in effect.
Limitations on Subcontracting: Per FAR 52.219-14, the Company will perform at least 50% of the cost of manufacturing (excluding materials) or 50% of the cost of contract performance for services with its own personnel or "similarly situated" SDVOSB entities.
Cybersecurity: The Company complies with FAR 52.204-21 (Basic Safeguarding) and DFARS 252.204-7012 regarding the protection of Unclassified Information.

3. California State Compliance (DVBE/SBE)

The Company is a certified Disabled Veteran Business Enterprise (DVBE) and Small Business (Micro).

Commercially Useful Function (CUF): The Company warrants compliance with Military and Veterans Code (MVC) § 999(B). The Company manages, supervises, and executes a distinct element of the work and is not a "pass-through" entity.
Mandatory Payment Withhold: Per MVC § 999.7, the Buyer (State Agency) shall withhold $10,000 (or the full final payment) until the Company submits the Prime Contractor’s Certification – DVBE Subcontracting Report (STD 817).
Substitution: No DVBE subcontractor may be replaced without prior written approval from the awarding department and the Office of Small Business and DVBE Services (OSDS).

4. Payment and Interest

Federal Contracts: Governed by the Prompt Payment Act (FAR 52.232-25).
California State Contracts: Governed by Government Code § 927. Undisputed invoices must be paid within 45 calendar days. Failure to pay within this window entitles the Company to automatic late payment penalties.

5. Delivery and Risk of Loss

F.O.B. Terms: Unless specified otherwise, all domestic shipments are F.O.B. Destination. Risk of loss passes to the Buyer upon delivery to the specified location.
Excusable Delays: The Company is not liable for "Force Majeure" events, including national emergencies, acts of God, or unexpected sovereign acts of the Government.

6. Inspection and Warranty

Inspection Period: The Buyer has 10 business days from receipt to inspect goods. Failure to provide written notice of non-conformance within this period constitutes final acceptance.
Pass-Through Warranty: The Company assigns all original manufacturer warranties to the Buyer. The Company makes no independent warranties of merchantability or fitness for a particular purpose.

7. Dispute Resolution and Governing Law

Jurisdiction: For state-level contracts, the laws of the State of California apply, with venue in Los Angeles County.
Federal Disputes: Disputes arising under Federal contracts are subject to the Contract Disputes Act (41 U.S.C. §§ 7101-7109).
